Terms and Conditions – Skydatasol Mobility

These Terms and Conditions govern the provision and use of services by Skydatasol Mobility and apply to all clients, contractors, workforce participants, partners, and infrastructure operators.

By accessing, contracting, or using any Skydatasol Mobility service, system, or platform, the user expressly agrees to be bound by these Terms and Conditions.

1. Definitions

For the purposes of these Terms:

  • "Company" refers to Skydatasol Mobility
  • "Client" refers to any entity purchasing or using logistics services
  • "Partner" refers to self-employed drivers, fleet partners, pitstop operators, or subcontractors
  • "Services" refers to logistics, fulfilment, warehousing, transport, and related activities
  • "Agreement" refers collectively to these Terms, the SLA, and all incorporated policies

2. Scope of Services

Services are provided strictly in accordance with:

  • The agreed Service Level Agreement (SLA)
  • Accepted program packages or custom agreements
  • Applicable policies and procedures

No services are provided outside the agreed scope unless expressly authorised in writing.

3. Contractual Relationship

All services are provided on a business-to-business basis. No employment, agency, partnership, or joint venture relationship is created by these Terms.

Partners operate as independent contractors and bear full responsibility for their personnel, vehicles, sites, and compliance.

4. Service Level Agreement (SLA)

All services are governed by a valid SLA. Execution of the SLA requires mandatory acceptance of:

  • The Data Protection Agreement
  • The Software & Data Exchange Agreement
  • The Data in Exchange Policy

In the event of conflict, the SLA prevails over these Terms for service-specific matters.

5. Client Obligations

Clients must:

  • Provide accurate and complete operational data
  • Ensure lawful ownership or authority over goods
  • Comply with packaging, labelling, and handling requirements
  • Facilitate access, delivery, and collection

Failure to comply may result in service suspension.

6. Partner Obligations

Partners must:

  • Maintain valid licences, insurance, and compliance
  • Operate only approved vehicles and sites
  • Follow operational procedures and safety standards
  • Protect data and systems from unauthorised access

Non-compliance may result in immediate termination.

7. Pricing and Payment

Pricing is defined contractually and may include:

  • Transport and fulfilment fees
  • Handling and storage charges
  • Surcharges and adjustments

Invoices must be paid within agreed terms. Late payment may result in service suspension or termination.

8. Liability and Risk Allocation

Liability is limited in accordance with the SLA and applicable law. Skydatasol Mobility is not liable for:

  • Indirect or consequential losses
  • Delays caused by force majeure or third parties
  • Losses arising from inaccurate client data

Risk allocation is service-specific and contractually defined.

9. Insurance

Clients and Partners are responsible for maintaining adequate insurance coverage relevant to their role. Skydatasol Mobility may request proof of insurance at any time.

10. Data Protection and Confidentiality

All parties must comply with:

  • The Privacy Policy
  • The Data in Exchange Policy
  • Confidentiality obligations

Unauthorised disclosure or misuse of data constitutes a material breach.

11. Intellectual Property

All intellectual property relating to:

  • Systems
  • Software
  • Processes
  • Documentation

remains the exclusive property of Skydatasol Mobility unless otherwise agreed in writing.

12. Suspension and Termination

Skydatasol Mobility may suspend or terminate services immediately in cases of:

  • Breach of contract
  • Compliance failure
  • Security or data risk
  • Non-payment

Termination procedures are governed by the SLA.

13. Force Majeure

Neither party is liable for failure or delay caused by events beyond reasonable control, including natural disasters, strikes, system outages, or regulatory actions.

14. Amendments

These Terms may be updated periodically. Continued use of services constitutes acceptance of the updated Terms.

15. Governing Law and Jurisdiction

These Terms are governed by the law specified in the SLA. Any disputes shall be subject to the exclusive jurisdiction defined therein.

16. Severability

If any provision is held invalid or unenforceable, the remaining provisions remain in full force and effect.

17. Acceptance

Use of Skydatasol Mobility services constitutes full, unconditional, and ongoing acceptance of these Terms and Conditions.
